Impact of Lufthansa Group’s Acquisition of ITA Airways on European Airline Industry

The European Commission has recently given its approval for Lufthansa Group to acquire a 41% stake in Italian flag carrier ITA Airways, with provisions to acquire the remaining shares in the future. This decision came after concerns were raised regarding the potential impact on flight prices and service quality. However, following concessions made by Lufthansa and the Italian government, the competition concerns have been addressed. European Commission executive vice president Margrethe Vestager stated that the proposed remedies fully ensure that competitive pressure is maintained on relevant routes.

With the approval of the acquisition deal, Lufthansa Group now plans to swiftly integrate ITA Airways into its operations, adding the Italian airline to its portfolio of carriers. This move will not only expand Lufthansa Group’s presence in Europe but also strengthen competition in Italy, particularly in the face of increasing dominance by low-cost carriers. The acquisition will also enable ITA Airways to benefit from Lufthansa Group’s resources, such as its loyalty program and purchasing capacity for aircraft and fuel.

Following the acquisition, Rome Fiumicino Airport will become Lufthansa Group’s sixth hub, connecting route networks through codesharing agreements. This integration will not only enhance the group’s offerings but also provide ITA Airways with access to a wider network of destinations. Additionally, the acquisition aligns with Lufthansa Group’s goal of strengthening its competitive position in the European market, demonstrating its ability to compete globally.

The transaction is expected to be finalized in the fourth quarter of 2024, pending approval from competition authorities outside the EU. In the meantime, the European Commission is also evaluating other acquisition bids within the industry, including British Airways owner IAG’s proposed purchase of Air Europa and Air France KLM’s offer to acquire a stake in Scandinavian Airlines (SAS). These developments indicate a dynamic and evolving landscape within the European airline industry, with regulatory bodies closely monitoring potential mergers and acquisitions for their impact on competition and consumer interests.
